VST Membership Service Agreement

[Preamble and Introduction]
Welcome to the VST Membership Service (hereinafter referred to as “VST Membership Service” or “the Service”)!
To use the Service, please carefully read, understand, and comply with this VST Membership Service Agreement (hereinafter referred to as “this Agreement”).
This Agreement is jointly concluded by VST LLC (hereinafter referred to as “VST”, “we”, “us” or “our”) and you, and is binding upon the parties hereto. If any provision of this Agreement conflicts with applicable laws, the latter shall prevail.
Clauses in this Agreement that have (or may have) a significant bearing on your rights and interests (including but not limited to disclaimers of our liability, limitations on your rights, dispute resolution terms, and jurisdiction provisions) are highlighted in bold for your attention. Please ensure you review these bolded clauses carefully. Please ensure you have carefully read, fully understood, and unreservedly accepted all terms of this Agreement before using the Service.
We may modify or adjust the Service and/or this Agreement based on the overall planning of VST. Such modifications or adjustments will be displayed on relevant service pages. If you do not agree to these changes, you may cease using the Service.
Please note that your use of the Service is deemed as accepting all relevant terms with regard to the Service (including but not limited to this Agreement, the VST User Service Agreement, the VST Privacy Policy, and the VST Membership Service Rules), including any modifications or adjustments thereof. If you violate the clauses of this Agreement, we reserve the right to suspend or terminate your use of the Service at any time.
If you are a minor, please read and acknowledge this Agreement with the company of your legal guardian.
We understand the importance of, and are therefore committed to protecting your personal data. For details about how we collect, use, disclose, or otherwise process your personal data, and the rights you possess regarding your personal data, please refer to the full text of the VST Privacy Policy published on the VST platform.
Special Declaration: VST’s products and services are available only to regions outside the Chinese Mainland. If you are a Chinese Mainland citizen, please immediately cease using all VST products and services.
Section I. Definitions and Explanations
1. VST Member: Refers to a natural person who has become a member after completing all necessary procedures, and, subject to compliance with this Agreement, enjoys the membership services provided by VST during the valid membership period.
2. VST Membership Service: Refers to the exclusive Membership Benefits provided to you by VST. The Service includes, but is not limited to, access to and sharing of informational content, online courses, adding courses to favorites list, purchasing courses, online appointment scheduling with advisors, and access to AI-powered tools such as AI Digital Live Streamers and AI Agents through the consumption of Compute Power Credits. The Service also includes reward mechanisms for members who invite friends. For specific Membership Benefits, please refer to Section IV of this Agreement.
3. VST Membership Service Agreement: This Agreement serves as a supplement to the VST User Service Agreement and the VST Privacy Policy, forming an integral part thereof and having the same legal effect as such. In the event of any conflict between this Agreement and the aforementioned agreements, this Agreement shall prevail.
4. VST Membership Service Rules: Refers to all agreements, announcements, page descriptions, notices, Frequently Asked Question (“FAQs”), and other content related to VST Membership Service that have been or may be published in the VST Membership Center.
5. Force Majeure: Refers to events beyond VST’s reasonable control that are unforeseeable, or unavoidable even if foreseen, and prevent VST from fulfilling all or part of its obligations under this Agreement. Force majeure includes, but is not limited to, natural disasters (e.g. floods, earthquakes, typhoons, storms, tsunamis), social unrest (e.g. riots, strikes, turmoil), and government actions (e.g. changes in laws, regulations, or government directives). Given the unique nature of online services, Force Majeure also includes failures by basic telecommunications operators, technical defects in computers, mobile devices, or the internet, limitations in internet coverage, computer and mobile device viruses, hacker attacks, and other unforeseeable or unavoidable objective circumstances.
Section II. Use of Service
1. Obtaining the Service
1.1 The VST Membership Service is a paid service. You may purchase and use it by paying the corresponding service fees.
1.2 When obtaining the VST Membership Service, you shall comply with applicable laws, regulations, and the terms of this Agreement, and shall not infringe upon the legitimate rights and interests of third parties or VST. You shall not obtain the VST Membership Service through the following means, either by yourself or by assisting others:
(1) For commercial or other non-personal use purposes without VST’s express permission, regardless of any method;
(2) Through robot software, spider software, crawler software, or any other automated programs, scripts, software, etc.;
(3) Through lending, renting, selling, sharing, transferring the VST Member Service without VST’s express permission;
(4) Through improper means or in a manner violating the principle of good faith (e.g., exploiting rule loopholes, exploiting system vulnerabilities, abusing membership privileges, engaging in black/grey market activities, or speculation);
(5) Any other means that illegally exploit or undermine the rules governing the VST Membership Service.
VST hereby declares that any sale or provision of VST membership qualifications without VST’s express authorization constitutes an illegal sale or provision, and VST reserves the right to pursue legal liability.
2. Fundamental Principles of Service Use
2.1 While using the VST Membership Service, you shall comply with applicable laws, regulations, and other normative documents, respect social morality, uphold public order, and not endanger network security, and refrain from engaging in the following activities:
(1) Promoting terrorism, extremism, or engaging in related activities;
(2) Inciting ethnic hatred, ethnic discrimination, or engaging in related activities;
(3) Disseminating violent, obscene, pornographic, or other harmful content, or engaging in related activities;
(4) Infringing upon others’ reputation, privacy, intellectual property rights, or other legitimate rights and interests;
(5) Any actions detrimental to our reputation or interests;
(6) Promoting or engaging in any other illegal activities.
If you engage in any of the above activities, VST reserves the right to immediately terminate your access to the VST Membership Service and pursue legal liability in accordance with the law.
2.2 Unless otherwise agreed by both parties, VST grants you a personal, non- exclusive, non-commercial, revocable, and time-limited license to use the VST Membership Service. This means that you may only use the VST Membership Service for personal, non-commercial purposes.
Section III. Your Account
1. Account Acquisition
1.1 During the validity period of your VST Membership Service, the VST account
associated with your VST Membership Benefits shall be your VST Membership Account (i.e., the VST account linked to your VST Membership Service, hereinafter also referred to as the “VST Account” or “Membership Account”).
1.2 At the same time, VST kindly reminds you that you should use your Membership
Account in compliance with the VST Account usage rules. VST recommends that
you review the VST User Service Agreement, related sub-agreements, various
announcements, page descriptions, standard procedures, FAQs, and other
materials, to obtain more information regarding VST Account usage rules.
2. Account Use
2.1 The VST Membership Service requires you to log in to your VST Membership Account before use.
3. Account Management and Security
3.1 Account and Password Safekeeping
You are solely responsible for properly and correctly safeguarding, using, and maintaining your VST Membership Account and password, and you shall take necessary and effective confidentiality measures to safeguard your account and password. You shall solely bear any losses arising from loss, leakage, tampering, theft, or other improper safekeeping, use, or maintenance of your account and password, unless such losses are caused by VST’s legal fault.
3.2 Account Recovery
If you discover that someone is using your account without authorization, or if your account experiences other irregularities preventing normal login and use,
you need to follow the official account recovery procedures published by
VST. During the recovery process, VST may require you to provide corresponding information and/or supporting documents. Please ensure that the information you provide is true and valid; otherwise, the recovery may fail.
3.3 Identity Verification
To protect account security and prevent issues such as account theft, VST may periodically or occasionally use one or more methods to verify the identity of the account user (e.g., SMS verification, email authentication, etc.). If verification is unsuccessful, VST may reasonably suspect that the account is experiencing security issues such as theft, and may depending on the severity of the situation, decide whether to suspend the continued provision of Membership Service to the account and/or take further measures.
3.4 Account Responsibility
Please note that all activities under your VST Membership Account are deemed as your own actions. You are responsible for all activities conducted under your VST Account or through the use of your account.
4. Information Inquiry
4.1 You may visit the VST Membership Center to inquire about your account information details free of charge, including but not limited to the VST Membership Service content you have activated, service duration, earnings records, etc.
5. Account Independence
5.1 Your VST Account is for your personal, non-commercial use only. You shall not transfer, gift, sell, lease, or share your Membership Account or its Benefits to or with any third party. If any of the above actions result in account loss, leakage, tampering, theft, or other security issues, or if such actions trigger security risk control mechanism and result in account abnormalities or suspension, you shall solely bear all related losses.
6. Guest Mode
6.1 Since the Apple App Store allows non-registered users to purchase VST Membership Service through guest mode, the Membership Service will be linked to the device you used for the purchase. Therefore, the VST Membership Service can only be used on the linked device, and some Membership Benefits may not be available if you use guest mode (e.g., participation in activities, transfer of membership duration, etc.). If your device is lost, damaged, upgraded, reset, cleared, or subject to other similar operations, you will no longer be able to use the VST Membership Service linked to that device. You shall bear any losses arising from such circumstances.
6.2 VST recommends that you follow the on-page instructions to link the VST Membership Service to your registered VST Account, so that you can use the Membership Benefits on other devices you own and better enjoy the Membership Service provided by VST.
Section IV. Membership Benefits
1. VST Membership Benefits
1.1 After purchasing a physical VST AI Card, users may receive corresponding Membership Benefits. The details of Benefits are subject to the purchase page. Unless otherwise required by applicable laws and regulations, once purchased, the physical VST AI Card is non-refundable and non- exchangeable. Users may choose self-pickup or postal delivery. If a postal delivery service is chosen, VST may charge postage fees. The specific methods and fees are subject to the purchase page.
1.2 The Membership Benefits are subject to the service content, duration, and usage rules stated on the purchase page. If Membership Benefits change, we will inform you through appropriate means such as platform announcements or in-app notifications. The content of Benefits after the change shall be subject to the then-current version.
1.3 You understand and agree that to use the Service and enjoy the above Benefits, you undertake that all information you provide to Us is true, accurate, legal, and valid. If you provide false information, resulting in the inability to fully or partially enjoy the Membership Benefits or causing any negative consequences, you shall solely bear the corresponding responsibility.
2. Device and System Differences
2.1 After becoming a VST member, the specific Benefits or Service actually available may vary due to differences in the software version, device, operating system, or other third-party factors. You understand and agree not to pursue or waive any liability of VST for any inconvenience caused by such differences.
2.2 VST recommends that you try resolving such issues by upgrading the application or operating system version, or changing the device used, or directly contacting VST through the contact methods provided in this agreement.
3. Promotional Policies
3.1 VST may, based on actual operational conditions, offer promotions such as extensions or upgrades to VST Membership Service that have been purchased and remain continuously valid at different stages. Specific promotional policies are subject to the content notified by VST on relevant service pages.
4. Usage Rules
4.1 When obtaining or using VST Membership Service (including participating in activities), you shall follow the procedures and platform rules published through VST’s official channels:
(1) You shall not illegally obtain VST Membership Service (including but not limited to partial or full Membership Benefits, and VST Membership Account) and/or participate in activities to obtain Benefits (including but not limited to Membership Benefits, virtual products, physical goods, Membership Service redemption codes) through means, methods, or channels without VST’s authorization or publication;
(2) You shall not participate in activities or obtain Benefits through unfair means or methods that violate the principle of good faith (e.g., exploiting rule loopholes, exploiting system vulnerabilities, abusing membership privileges, engaging in black/grey market activities, speculation, or other methods that contradict the original intent of VST’s Service/activities).
4.2 If you violate the above terms, VST reserves the right to delete, cancel, or reset the Benefits you have obtained and may terminate the provision of Service to you. You shall solely bear all losses resulting from such actions.
5. Service Duration
5.1 The duration of your VST Membership Service is determined by the service duration corresponding to the membership fee you have selected and paid, and it is calculated from the time you become a VST Member. You may visit the VST Membership Center to inquire about the service duration free of charge. After the Membership Service duration expires, VST will cease providing the VST Membership Service to you.
5.2 Due to the unique nature of internet services, the VST Membership Service duration may include reasonable time required by VST for resolving malfunctions, server maintenance, adjustments, upgrades, or addressing third-party infringements. VST will strive to minimize such impacts, but you understand and agree that your Membership Service duration will not be extended for the aforementioned reasons Section V. Payment and Cancellation
1. Payment Methods
1.1 The VST Membership Service is a paid service. You may complete the payment for the VST Membership fee through payment methods supported by VST, including but not limited to bank card payments, third-party payments, etc. For certain payment methods, the relevant bank or payment institution may charge you specific fees (e.g., transfer service fees). Such specific fees are collected by third parties and are unrelated to us. For more details or inquiries regarding these fees, we recommend that you consult the relevant third-party institutions.
2. Refunds
2.1 The VST Membership Service is an online and virtual product. The Membership fee corresponds to the price of the Membership Service you have purchased and is not a prepayment, deposit, down payment, or savings card. Once the VST Membership Service is activated, the Membership fee is non-refundable (except in the following cases: if the VST Membership Service has significant defects that render it completely unusable, if otherwise agreed in this Agreement, if required by applicable laws and regulations, or if VST agrees to a refund).
2.2 VST hereby specifically reminds you to carefully verify the account information, purchased service content, price, and service duration before purchasing the VST Membership Service.
3. Changes to Pricing and Payment Methods
3.1 The payment methods and pricing standards for the VST Membership
Service are independently determined by VST based on comprehensive considerations such as the company’s operational costs and strategies, and may be adjusted according to market conditions or company policies (including but not limited to promotions, price increases, etc.). Specific pricing standards and payment methods will be displayed to you on the relevant product service promotion and payment pages.
3.2 If you notice changes in the relevant payment methods at the time of purchase or renewal, the payment methods actually supported by VST shall prevail. If there are adjustments to the service price, the currently effective price displayed on the VST platform shall prevail (unless otherwise agreed between VST and you).
Section VI. Prohibited Activities and Breach of Agreement
1. Prohibited Activities
During your use of the VST Membership Service, you shall not engage in the following activities:
1.1 Modify information such as service content, service duration, consumption amounts, or transaction status through technical means without VST’s express authorization;
1.2 Provide the VST Membership Service to others through methods not expressly authorized by VST (including but not limited to lending, renting, selling, sharing, or transferring);
1.3 Copy, download, upload, modify, catalog, translate, distribute, develop, transfer, sell, display, disseminate, synthesize, embed, link, create derivative works, commercially exploit or promote any part or all of the videos provided by the VST Membership Service without VST’s express authorization;
1.4 Interfere with or disrupt the operation of the VST Membership Service in any way, implant or transmit any viruses, worms, Trojan horses, or any other harmful code or software into the service, or crack, alter, reverse- engineer, tamper with, or otherwise undermine any security measures implemented by VST to protect the Membership Service;
1.5 Remove any ownership or intellectual property statements or labels on the Membership Service content without VST’s prior written consent;
1.6 Display Member Service content, in whole or in part, in any public setting, whether for a fee or free of charge, without VST’s express authorization, unless otherwise permitted by applicable laws and regulations;
1.7 Any other actions not expressly authorized by VST or that violate this Agreement, laws, regulations, or regulatory policies, or infringe upon the legitimate rights and interests of third parties or VST.
2. Breach of Agreement
You acknowledge and agree that if you engage in any actions that violate applicable laws, regulations, or regulatory policies, this Agreement, or harm the reputation or interests of VST and its affiliates, VST reserves the right to take one or more of the following measures:
2.1 If this Agreement specifies a separate clause for handling such actions, the relevant clause shall prevail;
2.2 Take one or more measures to stop your actions and their consequences, including but not limited to issuing warnings, deleting/blocking related links or content, restricting/canceling your account usage permissions, etc.;
2.3 Suspend or terminate part or all of your VST Membership Service. The Membership fees you have paid will not be refunded, any Benefits you have obtained but not yet claimed will be reset and no further withdrawal will be supported. The remaining “Compute Power Credits” in your account will remain, but you will not receive any form of compensation or indemnity;
2.4 If your actions cause any losses or other damages to VST or its affiliates, we reserve the right to claim compensation from you and/or demand remedial measures. You shall bear full liability for such damages and complete the payment of fees and take remedial measures within the timeframe requested by VST.
Section VII. Suspension and Termination of the Service
1. Circumstances for Service Suspension or Termination
1.1 The Service may be suspended or terminated under the following
circumstances:
(1) You proactively request it;
(2) You engage in any actions that violate applicable laws, regulations, or regulatory policies, this Agreement, or harm the reputation or interests of VST and its affiliates;
(3) VST is required to do so by laws, regulations, regulatory policies, or orders from competent authorities;
(4) VST deems it necessary to protect account and system security in emergency situations;
(5) Force Majeure;
(6) Other circumstances beyond VST’s control.
2. Handling of Service Suspension or Termination
2.1 When the aforementioned suspension or termination occurs, VST will handle the matter in accordance with applicable laws, regulations and the terms of this Agreement. VST shall not bear legal liability for service suspension or termination caused by reasons not attributable to VST’s fault.
Section VIII. Protection of Minors
1.VST’s Service is primarily intended for adults. In accordance with the applicable laws and regulations of your country or region, if you are a minor, you must obtain the prior consent of your parent or legal guardian before using our products or services. You should read this agreement in the presence of your guardian and ensure that you have obtained their consent before using our Service. We will fulfill our obligations to protect minors in accordance with applicable laws and regulations. At the same time, your legal guardian is also obligated to supervise and manage your use of the Service and bear corresponding responsibilities.
Section IX. Notification
1. To ensure that you are promptly informed of information related to this Agreement and the VST Membership Service, you agree that VST may notify you through one or more of the following methods: website announcements, page prompts, pop-up windows, message notifications, official account notifications, in-app messages, and the contact information you have provided (e.g., SMS, email, etc.). Such notifications shall be deemed successfully delivered to you at the time they are sent by VST. If multiple notification methods are used, the delivery time shall be the time of the earliest dispatch.
2. The content of such notifications may have significant favorable or unfavorable impacts on you. Please ensure that the contact information you provide is accurate and valid, and promptly pay attention to the corresponding notifications.
Section X. Contact VST

Section XI. Governing Law and Jurisdiction
1.The validity, performance, interpretation, and dispute resolution under this Agreement shall be governed by the laws of the Hong Kong Special Administrative Region of the People’s Republic of China.
2. If any dispute arises regarding the execution or performance of this Agreement, both parties shall strive to resolve it through amicable negotiations. If the negotiations fail, either party may submit the dispute to the Hong Kong International Arbitration Centre (“HKIAC”) for arbitration in accordance with the HKIAC Arbitration Rules effective at the time of the submission of the arbitration notice. The place of arbitration shall be the Hong Kong Special Administrative Region.
Section XII. Others
1. The headings in this Agreement are for convenience of reading only and do not affect the meaning or interpretation of any provisions herein.
2. If any provision of this Agreement is deemed void, invalid, or unenforceable, such provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
3. VST’s failure to exercise, delay in exercising, or partial exercise of any rights under this Agreement or the law shall not be deemed a waiver of such rights, nor shall it affect VST’s further exercise of such rights.
